• Software Development: Unless otherwise agreed in writing, all intellectual property rights in custom software or deliverables developed for clients shall vest in the client upon full payment.
• Staffing Services: Candidate resumes and profiles provided through our services are confidential and may not be shared or used outside the intended hiring or contracting purpose.

5. Disclaimer
a. Ashra Technologies provides information and services “as is” without any warranties, express or implied. We do not guarantee the accuracy, reliability, or completeness of any information or services provided.

b. For staffing services, Ashra Technologies does not guarantee the suitability, background, or performance of any candidate or contractor introduced to clients.

c. We are not liable for any damages, losses, or harm arising from the use of our services or reliance on the information contained within them.

6. Limitation of Liability
• In no event shall Ashra Technologies, its employees, or affiliates be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of data or profits, arising out of or in connection with your use of our services.
• Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.
• Ashra Technologies expressly disclaims liability for any employment-related claims, including but not limited to misclassification, wage disputes, or workplace injuries, in connection with staffing services.

7. Termination of Services
We reserve the right to terminate or suspend your access to our services at our discretion, with or without notice, for any violation of these terms and conditions, unlawful activity, or for any other reason. For ongoing staffing assignments, we will provide notice and cooperate to ensure a smooth transition where reasonably possible.

8. Modifications to Terms and Conditions
Ashra Technologies may update or revise these Terms and Conditions at any time. It is your responsibility to review this document periodically to ensure your continued compliance. Continued use of the services after changes constitutes acceptance of the new terms. We will provide notice of material changes via email or our website.

9. Governing Law and Jurisdiction
For services rendered in India, these terms shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.

For services rendered in the USA, these terms shall be governed by and construed in accordance with the laws of the State of [State], USA, and any disputes shall be subject to the exclusive jurisdiction of the courts in New Jersey.

10. Payment Terms
Payment terms, invoicing schedules, and late payment penalties will be specified in individual service agreements or statements of work.
Unless otherwise agreed, all payments are due within 30 days of invoice date. Late payments may incur interest at 1.5% per month.

11. Service Level Agreement (SLA)
For software development services, delivery timelines, support, and maintenance obligations will be defined in the applicable statement of work or service agreement.
For staffing services, if a candidate is found unsuitable within 30 days, Ashra Technologies will provide a replacement at no additional cost, subject to availability.

12. Non-Solicitation
You agree not to directly hire or engage any Ashra Technologies employee, contractor, or candidate introduced to you through our services for a period of 6 months from the date of introduction, without our prior written consent.

13. Confidentiality
Both parties agree to keep confidential all proprietary and personal information obtained in connection with the use of our services, except as required by law or with the other party’s written consent.

14. Compliance with Laws
Both parties agree to comply with all applicable labor, employment, and data protection laws in India, the USA, and any other relevant jurisdiction.
